Legal Notice and General Disclaimer of Liability Prochemics Analytics Corporation, S.A.
Article 1: Definitions and Contractual Understanding.
Prochemics Analytics Corporation, S.A. (hereinafter, “the Provider”) is engaged in the business of providing specialized analytical services. The Client, by submitting samples (hereinafter, “the Specimens”) for analysis, expressly acknowledges and agrees that the Provider’s role is limited to executing predefined analytical protocols on the Specimens as received. The Provider functions as a data generation entity and not as a guarantor of the commercial product from which the Specimens originated.
Article 2: Conditional Nature and Applicability of Analytical Output.
All findings, data summaries, and analytical reports (hereinafter collectively referred to as “the Deliverables”) generated by the Provider are a direct and exclusive function of the Specimens’ condition at the precise moment of laboratory analysis. The Provider explicitly disclaims any and all liability for the extrapolation, inference, or application of these Deliverables to other batches, future production runs, or the general quality of the Client’s or any third party’s products. The Deliverables are provided on an “as-is” basis concerning the Specimens only.
Article 3: Non-Endorsement and Commercial Neutrality.
The generation of Deliverables by the Provider shall not be interpreted, under any circumstance, as an explicit or implicit endorsement, certification, or recommendation of the product, its manufacturer, or its distributor. Conversely, it shall not be construed as a criticism or repudiation of the same. The Provider maintains absolute commercial neutrality and renders no judgments pertaining to marketability, therapeutic efficacy, or safety-in-use of the final product. Any public or private representation by the Client that suggests such an endorsement is expressly prohibited.
Article 4: Mandatory Advisory on Pharmaceutical Products.
It is an integral condition of the receipt of these Deliverables that the Client and any subsequent party acknowledge the following critical advisory: The data contained herein is strictly analytical and is devoid of any medical or clinical context. The administration of any pharmaceutical substance or medicament must be undertaken only under the direct guidance, prescription, and continuous monitoring of a licensed medical professional. The Provider issues a stern warning against self-medication or any deviation from professional medical advice, noting the potential for severe adverse health outcomes, including toxic reactions, contraindications, and other life-threatening risks.
Article 5: Acceptance and Indemnification.
The act of submitting Specimens for analysis constitutes the Client’s de facto acceptance of the entirety of the terms outlined in this Legal Notice. The Client hereby agrees to indemnify, defend, and hold harmless Prochemics Analytics Corporation, S.A., including its subsidiaries, affiliates, officers, agents, and employees, from any and all claims, damages, losses, or liabilities (including reasonable attorneys’ fees) that arise from or are connected to the use, misinterpretation, or dissemination of the Deliverables beyond their intended, limited technical purpose.
